1. The Service

Hapitalist is a web-based application offering creative-business and mindset tools, reflective exercises, games, planning features, community spaces, and related content (the "Service"). We may add, change, or remove features at any time.

2. Eligibility

You must be at least 16 years old (or the age of digital consent in your jurisdiction, if higher) to use the Service, and you must have the legal capacity to enter into these Terms. By using the Service, you represent that you meet these requirements and that the information you provide is accurate.

3. Accounts & security

4. Plans, billing & refunds

4a. Coaching programs & the Hapitalist Accelerator

Some offerings - including the Hapitalist Accelerator - are live, cohort-based coaching and educational programs, purchased separately (by invoice or checkout) rather than as part of a subscription.

5. Wellbeing & not medical advice

Hapitalist is not a healthcare, medical, mental-health, legal, or financial service. Its tools, assessments, reflections, and AI outputs are for general informational and self-development purposes only, are not professional advice, and are not a substitute for diagnosis or treatment by a qualified professional. Do not delay or disregard professional advice because of something in the Service. If you are in crisis or think you may harm yourself or others, contact your local emergency number or a crisis line right away. You use wellbeing-related features at your own discretion and risk.

6. AI features

The Service includes features powered by artificial intelligence. AI outputs are generated automatically, may be inaccurate, incomplete, or unsuitable for your situation, and should be reviewed with judgment. You are solely responsible for any actions you take based on AI outputs. AI features may rely on third-party model providers, and if you supply your own provider key, that provider's terms also apply to you. We do not warrant that AI outputs are accurate, reliable, or fit for any particular purpose.

6a. AI training - the answer is no, in both directions

We do not train AI models on your work. Not the answers you write into tools, not your journal, not your saved work, not anything you post in community spaces, not the questions you ask the coach. Not our models, and not anyone else's. We do not sell or hand your work to a model provider for training, and we do not use it to fine-tune, ground, or otherwise teach a model. AI providers process your work only to generate the response you asked for, in the moment you asked for it.

We do not train on anyone else's work either. The library contains writing that is not ours: guest posts, interviews in both directions, recorded panels and episodes where somebody other than Russell Nohelty is speaking, and books written with co-authors or multiple contributors. None of it has ever been used to train, fine-tune, or ground any model, and it is excluded from every corpus this platform reads from. This is enforced in the database, not left to good intentions: the system refuses to index third-party writing at all.

This is a standing rule rather than a policy we revisit. If it ever changes, it changes by asking you first, not by updating this page.

7. Acceptable use

You agree not to:

We may investigate and take action - including removing content, suspending access, or reporting to authorities - for conduct we reasonably believe violates these Terms or the law.

8. Community & messaging

The Service may let you post in community rooms, join cohorts, send messages, and recognize other members. You are responsible for what you share. Content posted to shared spaces is visible to other members and, where automated hosting or moderation is enabled, may be processed by AI to surface resources or flag potentially harmful content for human review. Be respectful; treat others' shared content as you would want yours treated. We are not responsible for content posted by other users.

9. Your content & license

You retain ownership of the content you create in the Service ("User Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for formatting and display), and use User Content solely to operate, secure, and improve the Service and to provide features you use (including processing it through AI providers to generate responses you request). This license does not include training AI models on your work. Section 6a is the limit on everything in this section: "improve the Service" means fixing and building the product, not teaching a model to write like you. For content you choose to post publicly or to other members, you also grant those members the ability to view it within the Service. You represent that you have the rights necessary to grant this license and that your User Content does not violate these Terms or any law.

10. Our intellectual property

The Service, including its software, design, text, graphics, the Hapitalist name and mascot, and all related intellectual property, is owned by Hapitalist or its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business use, subject to these Terms. No other rights are granted.

10a. The books, courses, workbooks and articles

Your plan gives you access to the library - the modules and kits, the books, the companion workbooks, the courses and their videos, and the article archive. Read it, work with it, use what you learn in your own business, and keep whatever you write yourself. That is what it is for.

What you may not do is republish it. Do not post the articles, book chapters, workbooks, or anything substantially derived from them anywhere other people can read them - your blog, your newsletter, your social accounts, your video channel, a resource site for your clients. Quoting a paragraph with credit to Russell Nohelty and Hapitalist is fine and always will be. Running the whole piece is publishing, and publishing is not part of your plan.

Some of the library is not ours to license to you. Guest posts, interviews, co-hosted recordings, and books written with co-authors belong to the people who made them. You can read them here the way any reader does. No further rights come with them, for anyone.

Running a programme for other people is a different thing. Your plan covers you and your own business. If you want to give your clients, students, authors, or members access - a coach with a cohort, a publisher with a roster, a platform with a user base - that needs a partner licence, which is a separate agreement with its own terms and pricing. Write to admin@hapitalist.com. Sharing your own account is not a substitute and is not permitted under section 3.

11. Feedback

If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free right to use it without restriction or obligation to you.

12. Third-party services

The Service integrates third-party services (such as payment, scheduling, and AI providers). Your use of those services is governed by their terms and policies. We are not responsible for third-party services and do not endorse them.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination (including content license for already-shared content, intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) survive.

14. Disclaimers

The service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, secure, or that any content or AI output is accurate, reliable, or complete. To the maximum extent permitted by law, you use the service at your own risk.

15. Limitation of liability

To the maximum extent permitted by law, Hapitalist and its operators, affiliates, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of (or inability to use) the service, even if advised of the possibility. To the maximum extent permitted by law, our total liability for all claims relating to the service will not exceed the greater of (a) the amount you paid us for the service in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless Hapitalist and its operators and affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your User Content, your use of the Service, or your violation of these Terms or any law or third-party right.

17. Dispute resolution & arbitration

Please contact us first at support@hapitalist.com so we can try to resolve any dispute informally. If we cannot, you and Hapitalist agree that disputes arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration, rather than in court, except that either party may bring claims in small-claims court or seek injunctive relief for intellectual-property misuse. You and Hapitalist waive any right to a jury trial and agree not to bring or participate in class or representative actions. Where this provision is unenforceable under applicable law, it does not apply to you to that extent. You may have a right to opt out of arbitration by notifying us within 30 days of first accepting these Terms.

18. Governing law

These Terms are governed by the laws of the United States and the State of California, without regard to conflict-of-laws rules, except where mandatory local law applies to you. Nothing in these Terms limits any consumer-protection rights that cannot be waived under the law of your place of residence.

19. Changes to the Service & Terms

We may modify the Service or these Terms at any time. If we make material changes to these Terms, we will provide reasonable notice (for example, through the Service) and update the "Last updated" date. Changes are effective when posted unless stated otherwise. Your continued use after changes take effect constitutes acceptance.
